These Terms of Service ("Terms") govern the relationship between Blue Heron Lane Consulting Ltd. ("Company", "we", "us") and any individual or organisation ("Client", "you") that engages our coaching, consulting, training, or facilitation services.
By engaging our services — whether through signing a service agreement, making payment, or commencing a coaching session — you confirm that you have read, understood, and agree to be bound by these Terms.
If you are engaging our services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
Blue Heron Lane Consulting Ltd. provides professional coaching and consulting services including, but not limited to:
The specific services to be provided, duration, fees, and deliverables will be set out in a separate written engagement agreement or proposal letter between the Company and the Client.
All engagements commence with a written proposal or engagement letter from the Company. Engagements are confirmed when the Client provides written acceptance (by email or signed document) and, where applicable, pays an initial deposit as specified in the proposal.
All services are customised to the Client's specific needs. The Company reserves the right to adapt programme designs, facilitation approaches, and materials to best serve the Client's developmental goals, in accordance with professional coaching ethics.
The coaching relationship is a professional partnership. It is not therapy, counselling, or medical advice. Coaches are professionally qualified and will apply evidence-based methodologies, but the Client retains responsibility for their own decisions and actions.
All fees are specified in the engagement agreement or proposal. Fees may be quoted in Ugandan Shillings (UGX) or US Dollars (USD) as agreed. Prices are exclusive of VAT unless otherwise stated.
Invoices not paid within 30 days of the due date may be subject to a late payment charge of 1.5% per month on the outstanding balance. The Company reserves the right to suspend services for accounts that are more than 45 days overdue.
For programmes delivered outside Kampala or requiring travel, the Client agrees to reimburse reasonable travel, accommodation, and subsistence expenses, as agreed in advance in writing.
If the Company cancels a session or programme due to unforeseen circumstances (illness, force majeure, etc.), we will offer a full rescheduling at no additional cost or a full refund. We will provide as much notice as possible in such circumstances.
All coaching conversations are strictly confidential. The Company will not disclose the content of coaching sessions to any third party, including the Client's employer or sponsoring organisation, without the Client's explicit written consent.
In cases of corporate-sponsored coaching, the Company may provide the sponsoring organisation with agreed progress indicators (e.g., session attendance, broad programme milestones) as specified in the engagement agreement. This will be clearly communicated to the Client before the programme begins.
Each party agrees to keep confidential any proprietary or sensitive business information disclosed during the course of the engagement and not to disclose such information to third parties without prior written consent.
Confidentiality does not apply where disclosure is required by law, where there is a risk of serious harm to the Client or others, or where the information is already publicly available.
All training materials, frameworks, assessments, tools, and resources provided by the Company during an engagement ("Materials") remain the intellectual property of Blue Heron Lane Consulting Ltd. unless otherwise agreed in writing.
Clients are granted a non-exclusive, non-transferable licence to use Materials for internal purposes within the scope of the agreed programme. Materials may not be reproduced, distributed, or used for commercial purposes without the Company's prior written consent.
Client-specific materials co-created during engagements (e.g., customised training decks, team charters) are jointly owned unless otherwise agreed.
Both the Company and the Client commit to maintaining a professional, respectful, and safe environment throughout the engagement. The Company's coaches adhere to the International Coaching Federation (ICF) Code of Ethics.
The Company reserves the right to terminate an engagement — without refund obligation — if a Client engages in behaviour that is abusive, threatening, discriminatory, or otherwise inappropriate towards Company staff or other programme participants.
To the fullest extent permitted by Ugandan law, the Company's total liability to the Client for any claim arising from or in connection with these Terms or the services provided shall not exceed the total fees paid by the Client in the three months preceding the claim.

Coaching and consulting services are not a substitute for professional medical, psychiatric, legal, or financial advice. Clients are encouraged to seek appropriate professional advice for issues that fall outside the scope of coaching. The Company does not guarantee specific career, business, or personal outcomes from participation in any programme.
Either party may terminate an ongoing engagement with 30 days' written notice. Upon termination:
The Company may terminate immediately (without notice period or refund obligation) in cases of serious misconduct, non-payment, or breach of these Terms by the Client.
These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda.
The parties agree to first attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings.
